For business accounts

A LyPinn business account lets a local shop, freelancer or service provider drop truthful, location-relevant cards under a `Business` tag. These Business Terms are an addition to the main Terms & Conditions — both apply to your account at once. If there's a conflict, the stricter clause wins.

0. The party you are contracting with

Advertising and sponsor-zone contracts you enter into via LyPinn today are with Bhavik Patel (sole proprietor, Ahmedabad, Gujarat 380058, India). Invoices, refunds and payment confirmations during this period will originate from Bhavik Patel.

Novation on incorporation. As disclosed in the main Terms §1a, LyPinn is being incorporated as LYPINN TECHNOLOGIES PRIVATE LIMITED. On the effective date of transfer, all live business contracts will automatically novate to the Company; invoicing and GST filings will originate from the Company from that date, and post-novation contracts will be signed by an authorised officer of the Company. If you would prefer not to novate, you may terminate the remaining portion of your paid campaign within 30 days of the novation notice and receive a pro-rata refund of unused prepaid balance, net of any GST already paid.

1. Who can register

You can sign up as a business if you operate a legitimate business or trade in the neighbourhood you intend to publish in. You must be authorised to act on behalf of that business. We may ask for evidence (GSTIN, PAN, Certificate of Incorporation, shop-and-establishment licence, or equivalent) at any time; we may suspend your account pending that evidence.

Warranty of legal standing. By registering a business account you represent and warrant that:

  • The legal entity you're signing up on behalf of is validly registered, in good standing, and not currently barred from trade by any regulator (RBI blacklist, MCA struck-off list, OFAC/UK/EU sanctions lists, or equivalent in your jurisdiction).
  • You hold all licences, permits, GST/VAT registrations, and tax IDs required in your jurisdiction to sell the products or services you promote via LyPinn cards, GNotes, ads, or sponsor zones.
  • The individual creating the account is a director, partner, proprietor, or a duly-authorised employee with written authority to bind the business.
  • The business, its beneficial owners, and its principal officers are not sanctioned persons under any applicable sanctions regime.
  • Any content you publish about your products/services is factually accurate as of the date you post it, and you are responsible for withdrawing or correcting it once it becomes inaccurate.

If any of these representations turns out to be false, LyPinn may (in addition to the standard suspension remedies): refund or claw back any unspent ad / sponsor spend, retain proof of the misrepresentation for regulator disclosure, and pass the matter to the relevant fraud/consumer-protection authority in your jurisdiction. Ads and Sponsor terms (below and via the Ads Manager / Sponsor Manager consoles) incorporate this same warranty by reference.

2. What you can publish under a business badge

Allowed

  • Genuine offers of a product or service available within 3 km of where you drop the card.
  • Time-bound promotions, opening hours, restock alerts, hyper- local service availability ("plumber available this evening — Maninagar").
  • Verified-contact requests under the Service category (e.g. hiring a one-day helper).
  • A GNote pinning your storefront with at most one attachment you own the rights to (your own voice, your own Spotify artist preview, your own YouTube channel clip, a Strava route your business owns). Standard GNote daily caps apply — see the consumer Terms §4b.
  • Posting on NLocal with feature ideas relevant to your trade. Business posts on NLocal must be disclosed as such — the `Business` tag is automatic.

Not allowed (non-exhaustive)

  • Anything banned by the consumer-side Terms (illegal goods, sexual services, drugs, weapons, financial scams, MLM schemes, political solicitation, etc.).
  • Categories regulated by RBI, SEBI, IRDAI, CDSCO, FSSAI or any other Indian regulator unless you hold a valid licence and disclose it (e.g. loans, insurance, securities, prescription pharmaceuticals, regulated foods).
  • Misleading or unsubstantiated price/quality claims, fake reviews, or impersonation of other businesses. Such conduct may also breach the Consumer Protection Act, 2019, the Legal Metrology Act, 2009, and the ASCI Code.
  • High-frequency posting (more than the limits the platform exposes). Each business account is rate-limited; abusing the limits costs you the account.
  • Off-platform redirect schemes that bypass the connect-and-reply model.
  • Personal data of anyone other than the business contact (no customer phone numbers, addresses, IDs).

3. Honesty + truthfulness

Cards must be accurate at the moment of publish. Stale promotions, sold-out goods, or services you can no longer deliver must be removed or allowed to expire under the 24-hour clock. Misleading consumers via a LyPinn card is grounds for permanent ban and may attract action under the Consumer Protection Act, 2019, including liability under §21 (misleading advertisements).

4. Verification

Email verification is free and shows a small green tick on your business cards. Verification does not mean LyPinn endorses, audits or guarantees your business. It only confirms you control the email address tied to your account.

5. Customer interactions

When a consumer connects, they pay one credit and you have one reply. Use that reply to share whatever next step is appropriate (phone number, website, address). After your reply the thread is locked; any continued conversation happens off-platform. You are solely responsible for those off-platform interactions — LyPinn is not a party to them. Any personal data you receive about a consumer post-connect must be processed under the DPDP Act, 2023 with you as the Data Fiduciary for that processing.

6. Disputes between businesses and consumers

Disputes about quality, refunds, scheduling, no-shows, or anything else that happens *after* the LyPinn connect are between you and the consumer. We may take a card down or suspend an account if a pattern of bad faith emerges, but we are not a consumer-redress forum and cannot adjudicate. The consumer's primary statutory remedy is under the Consumer Protection Act, 2019.

6a. Per-feature opt-in (GNotes)

GNotes are an opt-in feature for every LyPinn user, business or individual. Both senders and recipients must have GNotes switched on (Settings → Features) for a delivery to succeed. If your customer or supplier hasn't enabled GNotes, our app will tell you politely at compose time — we won't burn one of your daily GNote slots on a delivery that can't trigger. You can turn the feature on or off any time without losing past GNotes.

6b. Notify Me — your card may trigger a neighbour's push

LyPinn's Notify Me feature lets any individual or business user save a small set of keywords + a 3 km pinned location; when a card drops inside that pin and the matching engine (substring + LLM-generated synonyms + locally-computed semantic embedding) thinks the card is relevant to their keywords, we send them a push pointing to LyPinn's Discover feed. Your business cards are processed by this matching engine just like any other card. By dropping a business card you acknowledge that:

  • Card text is embedded locally on our server (open-source multilingual model, never sent to any third-party LLM) and scored against each Notify-Me-enabled neighbour's saved keywords inside the 3 km of the pinned coordinate.
  • A Notify Me push is a non-targeted signal — the recipient only sees "a card you might like dropped near {pin label}". Your card itself is never named, quoted, or attached to the push. The recipient still has to open Discover and find the card themselves (and may not see it at all if they are physically far from their pin when the push fires).
  • We do not charge for Notify Me reach. Every card — business or individual — is treated identically by the matcher; we have no "promoted" or "boosted" tier.
  • You may not game the matcher by stuffing your card text with unrelated keywords to broaden push reach ("plumber gym shoes vegetables" in a card that is actually a one-day bakery sale). This is a form of misleading advertising and triggers the same takedown + suspension consequences as §3 of the main Terms.

7. Paid ads and sponsor placements

Bhavik Patel offers paid placement products — sponsored cards in the Discover feed and sponsor-zone overlays (capsule / strip / card background) on organic cards — for advertisers who want to reach LyPinn users inside a specific 3 km area.

Geographic availability (current). Paid placements are currently available only to advertisers based in and invoicing from India. Advertisers based outside India who wish to run ads on LyPinn must contact us at `ads@lypinn.com` — we accept international advertisers only after a written agreement is executed. Anyone attempting to publish paid content outside this window without our written consent will have the content removed and the account suspended.

Fee model. Sponsored ads and sponsor-zone placements are priced as a flat fee per zone per calendar month (no CPM, no CPC, no auction bidding). Fees are quoted in Indian Rupees (INR) and are exclusive of Goods and Services Tax (GST), which is added at the applicable rate (currently 18%) on the invoice. TDS (Tax Deducted at Source) under § 194-O of the Income-tax Act, 1961 applies where the advertiser is a resident entity and payment gateway settlement crosses statutory thresholds — we will issue Form 26AS-compatible certificates as required.

Payment. Advertisers pay in advance for each campaign month via Stripe or bank transfer. Auto-renewal is off by default; advertisers must opt in explicitly for each future month.

Refund policy. Once a sponsored card or sponsor zone has served any impression to any user, fees for that billing cycle are non-refundable. Pro-rata refunds are issued only in these narrow circumstances:

1. LyPinn takes down the campaign because of our own administrative error (mis-configuration, wrong zone, billing mistake) — the unused portion of the paid month is refunded to the original payment method within 30 business days; 2. The campaign never served a single impression during the paid month due to a platform outage on our side (as distinct from a low-audience zone) — full refund of that month's fee; 3. A pre-launch cancellation made in writing at least 24 hours before the campaign start date — full refund minus a ₹500 processing charge.

No refund is issued for (a) campaigns removed for policy violation, (b) campaigns whose zone audience is smaller than the advertiser expected, (c) unused reach when a campaign is voluntarily paused mid-month, or (d) any chargeback initiated by the advertiser (which will also trigger immediate account suspension per § 10 below).

Chargebacks. A payment-dispute chargeback lodged with your card issuer or bank without first raising the complaint with our Grievance Officer is a material breach of these Business Terms. We reserve the right to (a) suspend the account immediately, (b) permanently ban the advertiser from LyPinn, (c) seize any unspent balance in the advertiser account, and (d) pursue collection of any amount successfully charged back plus reasonable recovery costs.

Ad review SLA. Every new sponsored card and sponsor zone is manually reviewed by LyPinn admin before it goes live. Target turnaround is 48 business hours in Ahmedabad time (Monday to Saturday, excluding public holidays). Rejection reasons are communicated inside the Sponsor Manager UI; you may resubmit a revised version at any time.

Data provided to advertisers. Advertisers see only aggregate, non-identifying counters: impression count, click count, connect-message count, and coarse country/platform breakdown. LyPinn will never disclose any user's identity, email, exact location, message content, or any other personally identifying information to an advertiser.

7a. Prohibited advertising categories

The following categories of advertisement are prohibited on LyPinn and will be rejected at review (and, if discovered post-approval, removed with no refund):

  • Political advertising — including electoral, candidate, party, referendum, or issue-based political content. Prohibited globally without exception. Charitable and civil-society advertising is permitted only if it does not endorse a candidate, party, or political outcome;
  • Alcohol — including breweries, distilleries, wine, spirits, low-alcohol beverages, alcohol delivery, and venues whose primary business is alcohol service. Prohibited globally without exception;
  • Tobacco, e-cigarettes, vaping products, and cannabis (including CBD, THC, and any derivative), even where locally legal;
  • Gambling, betting, real-money gaming, lotteries, and fantasy sports for money, even where locally legal;
  • Sexually explicit content, adult products, escort services, dating services that promote sexual encounters;
  • Weapons, ammunition, or explosives — including training academies for lethal weapons;
  • Cryptocurrency, virtual assets, NFTs, ICOs, and any unregulated financial instrument — until India's crypto regulatory framework matures;
  • Multi-level marketing (MLM), pyramid schemes, and network-marketing recruitment;
  • Health, medical, or pharmaceutical products without a valid licence and appropriate disclaimers required by the Drugs and Cosmetics Act, 1940 and the Advertising Standards Council of India (ASCI) code;
  • Financial products (loans, credit, mutual funds, insurance, forex trading, investment advisory) without SEBI / RBI / IRDAI approval and the required disclaimers;
  • Misleading claims — including "cures cancer", "guaranteed returns", "lose 10 kg in a week", or any similar unsubstantiated superlative;
  • Impersonation of another business, celebrity, or official authority;
  • Competitors of LyPinn — hyper-local notice-board or geo-social apps that offer substantially similar functionality.

This list is non-exhaustive. Bhavik Patel reserves absolute discretion to refuse or remove any advertisement that we believe, in good faith, breaches the spirit of these Business Terms or damages the safety or reputation of LyPinn.

7b. Advertiser eligibility and KYC

To place a paid ad or sponsor zone you must:

1. Be a registered business entity — proprietorship, partnership, LLP, private limited, public limited, or the equivalent under your jurisdiction. Individuals are not permitted to place paid ads; 2. For Indian advertisers — provide a valid PAN and, if your turnover exceeds the GST registration threshold, a valid GSTIN. Both are verified before your first campaign goes live; 3. For non-Indian advertisers (once approved for onboarding) — provide the local equivalent of business registration plus proof of address (recent utility bill or bank statement in the entity's name); 4. Confirm that you own or have the right to use every trademark, logo, brand asset, image, and testimonial included in the ad; 5. Comply with the Advertising Standards Council of India (ASCI) Code for Self-Regulation of Advertising Content in India, 2022, and with the equivalent self-regulatory codes in your country of operation; 6. Not run political, alcohol, or other prohibited content — see § 7a above.

## 8. Tax + statutory compliance

You are responsible for all taxes, licences, GST registrations, professional licences, and any other compliance attaching to the goods or services you advertise. Bhavik Patel issues GST-compliant tax invoices for all Indian paid placements and applies the correct GST rate as notified by the CBIC. For non-Indian advertisers, the invoice is issued tax-exclusive under the export-of-services provisions once foreign onboarding opens.

9. Brand + intellectual property

By dropping a card you grant LyPinn a worldwide, royalty-free licence to display the card text, your business name, and any image you attach, inside the LyPinn app and on incidental screenshots used to promote the platform — for as long as the card is active and for 30 days after for moderation evidence. We do not claim any other rights to your brand.

10. Account suspension

Two or more substantiated reports inside any 30-day window trigger an automatic suspension while we investigate. False or abusive use of the reporting system, by either side, is itself a violation.

11. Confidentiality + data handling

Any non-public information shared between you and LyPinn (e.g. in a support thread or moderation appeal) is held confidential on both sides. You undertake to handle consumer data received through LyPinn under the DPDP Act, 2023 — collect only what you need, retain only as long as necessary, and honour your obligations as a Data Fiduciary.

12. Indemnity

You indemnify LyPinn and its operators from any claim, fine, or proceeding arising out of (a) misrepresentation in your business cards, (b) breach of any regulator's licence requirements (RBI, SEBI, IRDAI, CDSCO, FSSAI, ASCI, etc.), (c) breach of the DPDP Act with respect to customer data you received via LyPinn, or (d) any IP claim concerning content you uploaded to LyPinn.

13. Changes

We may update these Business Terms when the platform's business-facing features change. A re-acceptance prompt will appear at next login.

14. Governing law, jurisdiction, and dispute resolution

These Business Terms are governed by the laws of the Republic of India and subject to the exclusive jurisdiction of the competent courts at Ahmedabad, Gujarat. The arbitration + class-action-waiver + boilerplate clauses in § 11 and § 11a of the main Terms apply to disputes under these Business Terms as well.

9. Partner API access (Trending data, v1.1.19)

If LyPinn issues you an API key for the Integrations endpoint (`/api/v1/trending`), the following obligations apply in addition to every other clause of these Business Terms. The key is personal to your business account, must be stored server-side only, and must never be embedded in mobile apps, single-page web apps, or anything end-users can inspect. Rate limits are set per key (default 60 requests/minute, 10,000 requests/day) and may be revoked or revised without notice if traffic patterns suggest abuse, scraping, or onward sharing. You agree (a) not to attempt to re-identify any LyPinn user from the aggregate keyword data; (b) not to combine the dataset with any other dataset for the purpose of re-identification; (c) not to redistribute, sublicense, or resell raw API responses to a third party without LyPinn's prior written consent; and (d) to use the data only for the purposes described in your written API-access request email to `developer@lypinn.com`. Breach of any of the above is a material breach and entitles LyPinn to revoke your key with immediate effect.
